By accessing or using SmartAgent AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

SmartAgent AI is an enterprise AI workspace platform that provides:

• AI-powered automation and orchestration
• Multi-tenant workspace management
• Chat and collaboration tools
• Workflow automation (n8n integration)
• Knowledge base and document understanding (RAGFlow)
• Natural language processing (Rasa)
• Creative AI studio (GenStudio)
• Browser automation (GenAuto)

3. User Accounts

3.1 Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.2 Account Eligibility

• You must be at least 18 years old
• You must have the authority to bind your organization
• One account per user/organization

4. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to systems
• Use the service for illegal activities
• Abuse or overload our infrastructure
• Scrape or harvest data without permission
• Resell or redistribute our services

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

6. Service Availability

6.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance windows will be announced in advance when possible.

7. Subscription and Payments

7.1 Pricing

• Subscription fees are based on selected plan

• Payment is due at the beginning of each billing cycle
• Automatic renewal unless cancelled

7.3 Refunds

Refunds are provided on a case-by-case basis within 14 days of initial subscription only.

The Service, including all content, features, and functionality, is owned by SmartAgent AI and protected by copyright, trademark, and other laws.

8.2 Your Content

You retain all rights to content you upload. By uploading, you grant us a license to use, store, and process your content to provide the Service.

Our platform integrates with third-party services. Your use of these services is subject to their respective terms:

• Google Cloud Platform / Gemini API
• OpenAI API
• n8n Workflow Automation
• RAGFlow Knowledge Base
• Rasa NLU

We are not responsible for third-party services or their availability.

You agree to indemnify and hold harmless SmartAgent AI from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings.

12.2 By Us

We may terminate or suspend your account for:

• Violation of these Terms
• Fraudulent activity
• Non-payment
• At our discretion with reasonable cause

13. Changes to Terms

We may revise these Terms at any time. Material changes will be notified via email or platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Vietnam, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiation
2. Mediation if negotiation fails
3. Arbitration in Ho Chi Minh City, Vietnam

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SmartAgent AI.
